Terms and Conditions of the Usersnap Affiliate Program

By signing up with the Usersnap Affiliate Program ("Program"), you agree to be bound by these terms and conditions ("Agreement"). By proceeding, you confirm that you have read, understood, and accept all the clauses of this Agreement. This Agreement constitutes the entire contract between you and Usersnap in relation to its subject matter.

You acknowledge that this Agreement is enforceable like any negotiated written agreement signed by you, and it is binding upon you.

This is a legal agreement between you (either an individual or a legal entity) and Usersnap and its authorized service provider(s), distributor(s), promoter(s), and reseller(s). This Agreement governs the rules and regulations of the Program. By clicking the "Sign up" button during the registration process, you confirm that you are over 18 years old and agree to the terms of our Privacy and Cookies Policy and this Agreement. If you are representing a company, you declare that you are authorized to legally bind that company to this Agreement and the Privacy and Cookies Policy.

Usersnap reserves the right to approve or reject any affiliate partner application at its sole discretion. Acceptance into the affiliate program is solely at Usersnap's discretion, and Usersnap and its authorized representatives shall not be liable to you in the event of application rejection.

Definitions:

"Usersnap" or "We": Usersnap GmbH
"Customers": End users of Usersnap's services.
"Affiliate Program": Usersnap's program rewards affiliates with monetary compensation for customer referrals
"Affiliate Program Website": usersnap.com or Affiliate Program page
"Affiliate Link": Personalized link used by affiliates to track referrals and commissions, located on affiliate websites and promotional channels, directing potential customers to usersnap.com
"Your Website" or "Affiliate Website": Website(s) owned and/or operated by you, registered for the Usersnap Affiliate Program.
"Referral": Potential customer directed to usersnap.com via the Affiliate Link
"Agreement": This Affiliate Program Agreement and associated materials
"Commission": Money earned by an affiliate for each referral resulting in a sale
"Lead": Potential customer referred to Usersnap through Your Affiliate Link and approved by Usersnap
"Referral Window": Duration of an affiliate cookie from the end user's first arrival on Usersnap's website through the Affiliate Link, as defined in this Agreement, ending up on the clearance or change of the lead's cookie preferences or upon the expiration indicated on the Affiliate Program Website, whichever occurs first
“Intellectual Property Rights” means the copyright, including the moral and related rights, rights to use, literary works, designs, databases or any other copyright-protected works, patents, trade names, protected business identifiers, utility models and trademarks, and all other industrial and intellectual property rights, in each case whether registered or unregistered, which currently subsist, or will subsist, now or in the future, in any part of the world.

To participate in the Usersnap Affiliate Program. You must be at least 18 years old, apply to the affiliate Program Website, and be accepted by Usersnap into the Usersnap Affiliate Program.
You must provide your full legal name, a valid email address, and any additional information requested in order to complete the signup process.
You will receive a confirmation of your participation when the application is approved. After approval, you have direct access to your affiliate dashboard and personal referral link.
You are only allowed to create and use one affiliate account.

Program requirements and restrictions

The primary responsibility of the affiliate is to serve as a marketing promoter for Usersnap, actively introducing potential customers to the company’s website. The affiliate is allowed to use their affiliate link on their website, their social media platforms and refer potential customers to Usersnap
As a participant in the Usersnap Affiliate Program, you agree to market and promote the products and services of Usersnap. To do this, you may use marketing assets from Usersnap, provided through your affiliate dashboard, such as available banner ads, social media graphics, and guidebooks.
You agree to not make any false or misleading statements concerning Usersnap or make any representations concerning Usersnap’s pricing, specifications, features, capabilities, and applicable warranties that are inconsistent with the product descriptions or promotional materials we make available to you.
If an Affiliate lead’s first click on the Affiliate Links occurs after the expiration or termination of this Agreement, it will not be deemed valid.

Commissions and payments

Usersnap affiliate program offers up to 25% commission on all payments (excluding tax, especially VAT) within the first 12 months for paying customers you refer to Usersnap with your affiliate link. The lead must subscribe to Usersnap within 90 days, which is the duration of our affiliate cookie on the potential customer’s device after clicking the affiliate link. In case we agree on deviating commissions, these must be in writing and duly signed by a Usersnap executive.
Commissions are disbursed on the 30th of each month, covering earnings from the preceding month.
In case of a refund, the commission will not be payable, and if already paid, it will be adjusted from the next payout. If there is no next payout within the next 30 days, then the Affiliate will be liable to pay back the commission immediately. Failure to make payment of a Commission paid out in error will entitle us to terminate this Agreement and claim for damages.

Termination policy

Any of these activities might lead to immediate termination of this contract and further payment of commissions to the partner.

Any form of advertisement that involves false claims, misleading hyperlinks, brand bidding (PPC), or similar practices may mislead or deceive customers.
Spamming activities such as mass email campaigns or postings in newsgroups, forums, or other online platforms in a manner that violates acceptable usage policies or disrupts normal communication channels.
Affiliates are prohibited from advertising Usersnap on websites or platforms that promote or engage in illegal activities.
Affiliates must respect Usersnap's brand and intellectual property rights, including copyrights and trademarks, and refrain from any unauthorized use or infringement.
Affiliates are prohibited from engaging in any form of manipulation or misleading practices to induce customers to make purchases solely for the purpose of earning affiliate commissions.
Affiliates must refrain from participating in repetitive self-referrals, fraudulent transactions, or any suspected affiliate fraud activities.

Usersnap reserves the right to evaluate the alignment of an affiliate's promotional methods with our brand values. If Usersnap or our affiliate management team determines that promotional methods are not in alignment with our brand values, we may take appropriate action, including suspension or termination of the affiliate agreement, at our sole discretion.

Confidentiality

If information was declared confidential, you are not allowed to share it with any else, except if the information was publicly available before.

Liability & damages

Usersnap shall not be responsible for any claimed damages, including incidental and consequential damages, which may arise from Usersnap's servers going offline or being unavailable for any reason whatsoever. Furthermore, Usersnap shall not be responsible for any claimed damages, including incidental or consequential damages, resulting from the corruption or deletion of any data from Usersnap's servers. Damages shall be limited to the immediate termination of Services.

YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS. BY USING OUR LINKS, YOU AUTOMATICALLY ACCEPT THE LATEST TERMS AND CONDITIONS.
